1. Definitions

"Orbyn", "we", "us", and "our" refer to Orbyn, a business consulting practice operating from Bangkok, Thailand. "Service" refers to the consulting services described on this website. "User" or "you" refers to any individual or organisation accessing this website or engaging Orbyn for services. "Agreement" refers to these Terms & Conditions together with any signed engagement letter.

2. Acceptance of Terms

By accessing this website or submitting an enquiry, you acknowledge that you have read and agree to be bound by these Terms & Conditions. Use of this website is available to individuals aged 18 and over with the legal capacity to enter into binding agreements. If you are accessing on behalf of an organisation, you confirm that you are authorised to do so.

3. Service Description

Orbyn provides business consulting services including stakeholder communication audits, growth strategy development, and board governance advisory. Services are delivered within the scope defined in a written engagement letter agreed by both parties prior to commencement. Services are currently available to organisations operating in Thailand and the broader Southeast Asian region. Orbyn reserves the right to decline any engagement at its discretion.

4. User Responsibilities

When using this website or engaging Orbyn, you agree to:

• Provide accurate and complete information in enquiry forms and during engagements
• Not use this website for any unlawful, harmful, or deceptive purpose
• Not attempt to interfere with the operation or security of this website
• Respect the confidentiality of any advisory discussions or materials provided by Orbyn

5. Intellectual Property

All content on this website — including text, design, and structural elements — is the intellectual property of Orbyn and may not be reproduced or distributed without written permission. Deliverables produced during a consulting engagement are provided to the client for internal use. Orbyn retains the right to use anonymised methodologies and general frameworks developed during engagements in future work, provided no client-confidential information is disclosed.

6. Payment Terms

Fees for consulting services are set out in the engagement letter and expressed in Thai Baht (฿). Payment terms are specified in each engagement letter, typically with an initial deposit prior to commencement and the balance due upon delivery of final deliverables. Orbyn does not offer refunds for completed stages of an engagement. In the event of early termination by the client, fees for completed work stages are payable in full.

7. Service Delivery

Orbyn will use reasonable professional care and skill in delivering services. Timelines are estimated in the engagement letter and may shift due to factors outside Orbyn's control, including delayed provision of client information or changes to scope. Any changes to the agreed scope must be requested in writing and agreed by both parties before additional work commences.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. A mutual non-disclosure agreement is standard prior to substantive discussion. Confidentiality obligations survive the conclusion of the engagement for a period of three years, unless a longer period is agreed in the engagement letter.

9. Disclaimers

Orbyn provides advisory services based on the information available and professional judgment at the time of the engagement. We do not warrant that any recommendations will produce specific outcomes. The website and its content are provided "as is" without warranty of any kind. Consulting advice does not constitute legal, financial, or regulatory advice, and clients should seek qualified professional guidance for such matters.

10. Limitation of Liability

To the extent permitted by Thai law, Orbyn's total liability in connection with any engagement shall not exceed the fees paid for that engagement. We shall not be liable for indirect, consequential, or economic losses arising from the use of our services or website. Nothing in these terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold harmless Orbyn and its advisors from any claims, losses, or damages arising from your misuse of this website, breach of these Terms, or provision of inaccurate information that leads to harm.

12. Termination

Either party may terminate an engagement by written notice. In such cases, fees for completed work stages are due and payable. Orbyn may also terminate access to this website for users who breach these Terms. Confidentiality and intellectual property provisions survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these Terms or an engagement will first be addressed through good-faith discussion between the parties. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of Thai courts in Bangkok, unless both parties agree in writing to an alternative resolution mechanism.

14. General Provisions

These Terms, together with any signed engagement letter, constitute the entire agreement between the parties regarding the subject matter. If any provision is found unenforceable, the remaining provisions continue in full effect. Failure to enforce any provision does not constitute a waiver. Neither party may assign its obligations without the prior written consent of the other.

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of the website following changes constitutes acceptance of the revised Terms.
